Montr AI – Terms and Conditions

Welcome to Montr AI (“Montr”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the website at https://montr.ai (the “Site”), and any related subdomains, mobile applications, APIs, and services offered by Montr AI, a company incorporated under the laws of India (collectively, the “Service”). The Service includes AI-powered tools for generating content, such as text, images, code, and other outputs based on user inputs, designed to assist users in creative, professional, and commercial projects.

By accessing or using the Service, creating an account, or clicking “I Accept” or similar buttons, you (“you” or “User”) agree to be bound by these Terms, our Privacy Policy (which is incorporated herein by reference), and any applicable Additional Terms (as defined below). If you do not agree, you must not use the Service. These Terms form a binding contract between you and Montr. If you are accessing or using the Service on behalf of another person or entity (e.g., a company or organization), you represent that you have the authority to bind such person or entity to these Terms.

Global Users: The Service is intended for users worldwide, but availability may vary by jurisdiction due to local laws, export controls, or other restrictions. You are responsible for ensuring that your use of the Service complies with all applicable laws in your location, including data protection, export, and intellectual property laws. Certain features may not be available in embargoed countries or to restricted persons under U.S., Swiss, or other international regulations.

1. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. We will notify you of material changes by posting the updated Terms on the Site, sending an email to the address associated with your account, or through a prominent notice within the Service. The updated Terms will become effective on the date specified in the notice (or immediately if no date is specified). Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

No other amendments to these Terms will be effective unless made in writing and signed by both parties (or their authorised representatives).

2. Eligibility and Account Registration

2.1 Eligibility

To use the Service, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction (whichever is greater).
  • Have the legal capacity to enter into binding contracts.
  • Not be prohibited from using the Service under applicable laws, including U.S. or Swiss export controls, sanctions, or restrictions (e.g., you are not located in an embargoed country or on any denied persons list).
  • If using on behalf of an entity, be duly authorized to act on its behalf.

By using the Service, you represent and warrant that you meet these eligibility criteria. We do not knowingly collect personal data from children under 13 (or the equivalent minimum age under applicable laws like COPPA). If we discover such data, we will delete it promptly. 2.2 Account Creation

  • Most features require you to create an account (“Account”) by providing accurate, current, and complete information, including your email address and other required details.
  • You may register using third-party services (e.g., Google, Apple ID, etc.), in which case we may access certain information from those services as permitted by their terms.
  • You are solely responsible for maintaining the confidentiality and security of your Account credentials (e.g., username and password). You agree not to share your Account or allow unauthorized access.
  • Notify us immediately at hi@montr.io of any unauthorized use or security breach.
  • You may not impersonate others, transfer your Account, or use automated means to create multiple Accounts without our consent.

We reserve the right to suspend or terminate Accounts for violations, inactivity, or at our discretion.

3. Subscription Plans, Payments, and Billing

3.1 Plans and Features

Montr offers various plans, including free tiers, trials, lifetime access and paid subscriptions (“Plans”). Details on features, usage limits (e.g., API calls, credits, projects), and pricing are available at https://montr.ai/pricing. Plans may include access to AI generation tools, storage, and analytics. Free or trial Plans are subject to strict quotas; exceeding them may trigger upgrade prompts, throttling, or temporary suspension.

3.2 Billing and Payments

  • Paid Plans are billed in advance on a recurring basis (e.g., monthly or annually) using a payment processor like PayPal, Razorpay, or Stripe.
  • All fees are in USD and exclusive of applicable taxes, duties, or levies (e.g., VAT, GST), which you agree to pay unless prohibited by law.
  • By providing payment information, you authorize Montr and our processors to charge your selected method (e.g., credit card) for all fees, including recurring charges and taxes.
  • Subscriptions auto-renew at the then-current rate unless cancelled via your Account settings. Cancellation takes effect at the end of the current billing period; no proration for partial periods.
  • You are responsible for all charges, even if incurred by unauthorized use of your Account. Dispute billing errors promptly in writing; we may require proof.

3.3 Price Changes and Taxes

We may adjust prices with 30 days’ notice via email or the Site. Changes apply to your next renewal. You must provide accurate billing information and update it as needed. You bear all taxes arising from your use of the Service; we may collect and remit where required.

3.4 Free and Trial Plans

Free or trial access is for evaluation only and limited to non-commercial use unless stated otherwise. We may revoke free access at any time.

4. Acceptable Use and User Conduct

You agree to use the Service only for lawful purposes and in compliance with these Terms. Prohibited activities include, but are not limited to:

  • Violating any laws, regulations, or third-party rights (e.g., intellectual property, privacy, export controls).
  • Uploading, generating, or distributing harmful, illegal, abusive, hateful, discriminatory, or obscene content (e.g., spam, malware, phishing, violent threats).
  • Attempting to reverse engineer, decompile, disassemble, or extract source code from the Service or our AI models.
  • Using bots, scrapers, or automated tools to access the Service beyond permitted API limits.
  • Interfering with the Service (e.g., DDoS attacks, excessive requests) or other users.
  • Reselling, sublicensing, or white-labeling the Service without written consent.
  • Soliciting or harassing users, or engaging in fraudulent activities.
  • Bypassing usage limits or security features.

We may monitor usage for compliance and reserve the right to suspend or terminate violating Accounts without notice. You must cooperate with any investigations related to your use.

5. User Content and Generated Outputs

5.1 Definitions

  • User Content: Any text, data, images, files, prompts, or other materials you upload, submit, or generate via the Service (“Inputs”).
  • Outputs: AI-generated content (e.g., text, images, video, code) produced by the Service based on your Inputs.

5.2 Ownership and Licenses

  • Your Ownership: You retain all rights, title, and interest in your User Content and Outputs, subject to the licenses below. Outputs are considered your property for the duration of your subscription tier.
  • License to Montr: By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, perpetual license to host, store, process, modify, display, and analyze it as necessary to provide, maintain, and improve the Service. This includes using anonymized, aggregated data for AI training, analytics, and product development (opt-out available in Account settings).
  • No Training on Your Data: We do not use your specific User Content or Outputs to train third-party AI models without consent. However, aggregated insights may inform general improvements.
  • Feedback: Any suggestions or feedback you provide is voluntarily assigned to us royalty-free for use without compensation.

5.3 Representations and Responsibility

You represent and warrant that:

  • Your User Content does not infringe third-party rights or violate laws.
  • You have necessary permissions for any third-party elements in Inputs.
  • Outputs will be reviewed by you for accuracy, appropriateness, and compliance before use.

You are solely responsible for User Content and Outputs. We disclaim liability for any misuse, errors, or harms arising from them. Prohibited User Content includes infringing, explicit, or harmful material; violations may result in removal and Account termination.

5.4 AI-Specific Provisions

Our Service uses generative AI systems, which may produce inaccurate, biased, incomplete, or inappropriate Outputs due to limitations in training data or algorithms. Outputs are not guaranteed to be unique, factual, or suitable for any purpose. Do not rely on Outputs as professional advice, legal counsel, or truth without verification. You acknowledge risks such as hallucinations, IP similarities, or privacy exposures in Outputs. For commercial use of Outputs, ensure compliance with applicable laws (e.g., labeling AI-generated content). Paid subscribers may use Outputs commercially; free users are limited to personal, non-commercial use.

If using third-party integrations or data sources, Outputs may incorporate external content; we exclude your data from such training.

6. Intellectual Property

The Service, including its software, AI models, design, trademarks (e.g., “Montr AI”), documentation, and aggregated statistics, is owned by Montr AI or its licensors and protected by copyright, trademark, patent, trade secret, and other laws worldwide. Except as expressly granted herein, no license or right is implied. You may not remove notices or modify proprietary elements.

We grant you a limited, revocable, non-exclusive, non-sublicensable license to access and use the Service for your permitted purposes during your subscription.

7. Third-Party Services and Links

The Service may integrate with or link to third-party sites, services, or tools (e.g., Stripe for payments, Google for authentication, or external AI providers). Your use of such third parties is at your own risk and subject to their separate terms and privacy policies. We are not responsible for their availability, content, security, or practices. Any data shared with third parties complies with our Privacy Policy.

8. Communications

By creating an Account, you consent to receive communications from us, including emails, in-Service notifications, and SMS (if opted in), for purposes like account management, updates, promotions, and legal notices. You may opt out of non-essential messages via Account settings or unsubscribe links, but essential communications (e.g., billing confirmations) cannot be opted out of.

9. Termination

9.1 By You

You may terminate your Account and stop using the Service at any time via Account settings or by contacting hi@montr.io. For paid subscriptions, cancellation ends auto-renewal but does not entitle you to refunds except as specified in Section 10.

9.2 By Montr

We may suspend or terminate your access immediately and without notice if you breach these Terms, engage in prohibited conduct, or if required by law. We may also terminate with 30 days’ written notice for any other reason.

9.3 Effects of Termination

Upon termination: (i) your right to use the Service ends; (ii) you must cease all use and delete any Outputs; (iii) we may delete your Account data after 30 days (subject to legal retention); (iv) outstanding fees become due. Sections 5–18 survive termination.

10. Refunds and Cancellation

  • Monthly Plans: Cancel anytime; access continues until period end. No refunds for partial periods or unused credits.
  • Annual Plans: Full refund if cancelled within 14 days of purchase. After 14 days, no refunds, but access continues until term end.
  • Trials: No refunds for upgrades during trials.
  • All refund requests must be submitted via hi@montr.io with details. We process eligible refunds within 30 days. No refunds for violations or abuse.

11. Copyright Infringement (DMCA Policy)

We respect intellectual property rights. If you believe the Service contains infringing material, notify our Designated Agent at hi@montr.io or Montr AI, office 3, AMUIF, AMU, Aligarh, U.P., India – 202001, providing:

  • Your physical/digital signature.
  • Identification of the infringed work.
  • Location of the infringing material.
  • Your contact info.
  • A good-faith statement of infringement.
  • Consent to jurisdiction.

We will remove or disable access promptly and notify the alleged infringer. Repeat offenders may be terminated. Counter-notices follow similar procedures for restoration.

12. Disclaimer of Warranties

THE SERVICE, INCLUDING ALL AI OUTPUTS, IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. WE DO NOT WARRANT THAT OUTPUTS WILL MEET YOUR REQUIREMENTS, BE FREE OF VIRUSES, OR COMPLY WITH LAWS. YOUR USE IS AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW DISCLAIMERS, SO THIS MAY NOT APPLY TO YOU.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MONTR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. THIS LIMIT APPLIES TO ALL CLAIMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE. EXCLUSIONS INCLUDE GROSS NEGLIGENCE, FRAUD, OR WILLFUL MISCONDUCT WHERE PROHIBITED BY LAW. FORCE MAJEURE EVENTS (E.g., NATURAL DISASTERS, WARS) EXCUSE LIABILITY.

14. Indemnification

You agree to indemnify, defend, and hold harmless Montr and our affiliates, officers, directors, employees, and agents (“Montr Parties”) from and against any claims, demands, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your User Content or Outputs; (ii) your violation of these Terms or laws; (iii) your infringement of third-party rights; or (iv) your use of the Service.

We will indemnify you for claims that the Service (excluding your User Content/Outputs) infringes third-party IP, provided you promptly notify us, allow us to control the defense, and cooperate. Our sole obligations are to obtain rights, modify the Service, or terminate/refund fees. This is your exclusive remedy for IP claims.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Switzerland, without regard to conflict of laws principles. Any disputes arising from or related to these Terms or the Service shall be resolved exclusively in the courts of Aligarh, India, and you consent to such venue and personal jurisdiction.

For users outside India, we encourage informal resolution first: contact hi@montr.io. If unresolved, disputes may proceed to binding arbitration under Indian Constitution if mutually agreed. You waive class actions, jury trials, and representative proceedings to the extent permitted by law. Small claims or injunctive relief may be sought in appropriate courts.

Export Controls: You agree to comply with all applicable export and re-export control laws, including India, U.S. EAR/ITAR and Swiss regulations. You will not use, export, or re-export the Service to embargoed countries or denied persons.

16. Miscellaneous

  • Entire Agreement: These Terms, Privacy Policy, and any Additional Terms constitute the entire agreement between you and Montr, superseding prior agreements.
  • Severability: If any provision is held invalid, the remainder remains enforceable.
  • Assignment: You may not assign these Terms without our consent; we may assign freely.
  • No Waiver: Our failure to enforce any right does not waive it.
  • No Third-Party Beneficiaries: Except for Montr Parties under indemnification.
  • Force Majeure: We are not liable for delays due to events beyond our control.
  • Notices: To us at hi@montr.io or office 3, AMUIF, AMU, Aligarh, U.P., India – 202001. To you via email or Account notice.
  • Non-Solicitation: If applicable to enterprise users, you agree not to solicit our contractors or partners learned through the Service for 12 months post-interaction, subject to liquidated damages.
  • Data Protection: To the extent that Montr processes personal data on your behalf as a processor (or sub-processor), the Data Processing Agreement is hereby incorporated by reference and forms an integral part of these Terms. By using the Services, you agree to the terms of the DPA on behalf of yourself and any entity you represent.
